Service scope, deliverables, timelines, and pricing are defined in individual client agreements or proposals. These Terms govern general use of our website and form the baseline for all engagements.

3. Free 14-Day Marketing Trial

We offer a no-cost 14-day marketing trial as described on our website. By signing up for the trial:

  • You acknowledge it is offered at our sole discretion and may be modified or discontinued at any time.
  • No payment is required during the trial period; however, continuing services beyond the trial will require a paid plan.
  • Trial results are exploratory and do not guarantee specific outcomes or rankings.
  • We reserve the right to decline trial requests without explanation.

4. Pricing & Payment

  • All service prices are listed in USD unless otherwise stated.
  • Monthly retainer plans (Standard, Professional, Enterprise) are billed in advance at the beginning of each billing cycle.
  • Payments are due within 7 days of invoice issuance unless otherwise agreed in writing.
  • Late payments may incur a late fee of 1.5% per month or the maximum permitted by applicable law.
  • We reserve the right to pause or terminate services for accounts with overdue balances.

5. No Guarantee of Results

Digital marketing involves strategies subject to algorithm changes, market conditions, and competition. While we strive to deliver measurable results:

  • We do not guarantee specific rankings, traffic volumes, leads, or revenue outcomes.
  • Past results (including testimonials on our website) are not indicative of future performance.
  • Timelines such as “first-page rankings within a few months” are illustrative estimates, not contractual commitments.

6. Client Responsibilities

To enable effective service delivery, you agree to:

  • Provide timely access to relevant accounts (Google Analytics, Search Console, social media, ad platforms, CMS, etc.) as requested.
  • Supply accurate business information, branding assets, and approvals within agreed timeframes.
  • Not engage in any practice that may violate search engine guidelines or platform policies.
  • Promptly notify us of any changes to your business, offerings, or target audience.

Delays caused by failure to fulfill these responsibilities may affect timelines and do not constitute a breach on our part.

7. Intellectual Property

Our Content: All content on this website — including text, graphics, logos, service descriptions, blog posts, and design elements — is the intellectual property of ClickBadhao and is protected under applicable copyright and trademark laws. You may not reproduce, distribute, or use any content without our prior written consent.

Client Content: You retain ownership of all content, data, and materials you provide to us. By sharing these materials, you grant ClickBadhao a non-exclusive, royalty-free license to use them solely for the purpose of delivering agreed services.

Deliverables: Upon full payment, ownership of creative deliverables (content, website code, designs) produced for you transfers to you. Any proprietary tools, templates, or methodologies we use remain our property.

8. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business information shared during the engagement and not to disclose it to third parties without prior written consent, except as required by law.

9. Third-Party Platforms & Tools

Our services may involve the use of third-party platforms including but not limited to Google, Meta, WordPress, Yelp, and others. We are not responsible for:

  • Changes in third-party algorithms, policies, or pricing.
  • Suspension or penalization of your accounts by third-party platforms.
  • Downtime, data loss, or technical issues caused by third-party tools.

Any ad spend on third-party platforms (Google Ads, Meta Ads, etc.) is separate from our service fees and is billed directly to your account unless otherwise agreed.

10. Limitation of Liability

To the maximum extent permitted by law, ClickBadhao shall not be liable for:

  • Any indirect, incidental, special, or consequential damages arising from use of our services.
  • Loss of revenue, data, business opportunities, or goodwill.
  • Damages resulting from third-party platform actions outside our control.

Our total liability in any claim shall not exceed the total fees paid by you to ClickBadhao in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ClickBadhao, its team members, and affiliates from any claims, damages, or expenses (including legal fees) arising from your use of our services, your content, or your violation of these Terms.

12. Termination

Either party may terminate a service engagement with 30 days’ written notice unless otherwise specified in a separate agreement. Upon termination:

  • All fees owed up to the termination date remain payable.
  • We will provide reasonable transition assistance, including transferring account access.
  • Prepaid fees for unused services may be refunded at our discretion, depending on the work completed.

We reserve the right to terminate services immediately for breach of these Terms, non-payment, or conduct that is harmful, unethical, or in violation of applicable laws.

13. Website Use & Prohibited Conduct

When using our website, you agree not to:

  • Use automated tools to scrape, copy, or harvest content from our website.
  • Attempt to gain unauthorized access to any part of our systems.
  • Submit false, misleading, or fraudulent information through any form.
  • Use our website for any unlawful or harmful purpose.

15. Governing Law & Dispute Resolution

Any disputes arising out of or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Houston, Texas, under the rules of the American Arbitration Association (AAA).
